1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Structural Architecture ("Company," "we," "our," or "us") regarding your use of our website and services.

By accessing our website at structuralarchitecture.info or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Structural Architecture provides professional engineering and architectural services including:

  • Structural Engineering: Structural analysis, design, and calculations
  • Architectural Design: Building plans, drawings, and specifications
  • BIM Modeling: 3D modeling and Building Information Modeling
  • Construction Supervision: Project oversight and quality control
  • Consultation: Technical advice and professional guidance
  • Permit Assistance: Building permit documentation and support

All services are provided in accordance with applicable engineering standards, building codes, and professional practices in Niger and West Africa.

3. Professional Standards and Licensing

Our services are provided by qualified professionals who:

  • Hold appropriate engineering and architectural licenses
  • Maintain professional liability insurance
  • Adhere to professional codes of ethics
  • Follow applicable building codes and standards
  • Engage in continuing professional development

We are committed to maintaining the highest standards of professional practice and ethical conduct.

4. Service Agreement and Scope

4.1 Project Engagement

Each project begins with a detailed scope of work that defines:

  • Specific deliverables and services
  • Project timeline and milestones
  • Fee structure and payment terms
  • Client responsibilities and requirements
  • Technical specifications and standards

4.2 Changes to Scope

Changes to the agreed scope of work must be documented in writing and may result in additional fees and time extensions. We will provide written notice of any scope changes before proceeding.

5. Client Responsibilities

To ensure successful project completion, clients must:

  • Provide Accurate Information: Supply complete and accurate project requirements, site conditions, and specifications
  • Timely Communication: Respond promptly to requests for information, clarifications, and approvals
  • Site Access: Provide reasonable access to project sites for surveys and inspections
  • Regulatory Compliance: Obtain necessary permits and approvals from relevant authorities
  • Payment: Make payments according to agreed terms
  • Third-Party Coordination: Coordinate with contractors, consultants, and other project stakeholders

6. Payment Terms

6.1 Fees and Payment Schedule

  • Fees are determined based on project scope and complexity
  • Payment schedules are typically: 50% deposit, 50% upon completion
  • Large projects may have milestone-based payment schedules
  • Additional work beyond agreed scope will be billed separately

6.2 Accepted Payment Methods

  • Bank transfers (XOF, EUR, USD)
  • Mobile money (Orange Money, Airtel Money)
  • Other methods as mutually agreed

6.3 Late Payment

Late payments may incur interest charges of 2% per month. Work may be suspended for accounts more than 30 days overdue.

7. Intellectual Property Rights

7.1 Ownership of Deliverables

  • Upon full payment, clients receive rights to use deliverables for the intended project
  • We retain ownership of design methodologies, calculations, and professional expertise
  • Clients may not redistribute or resell our work without written permission
  • We reserve the right to use project information for professional development and marketing (with client consent)

7.2 Copyright and Usage

All plans, designs, and documents remain copyrighted material. Unauthorized reproduction or distribution is prohibited.

8. Warranties and Limitations

8.1 Professional Standards Warranty

We warrant that our services will be performed in accordance with:

  • Applicable professional standards of care
  • Relevant building codes and regulations
  • Industry best practices
  • Agreed project specifications

8.2 Limitations

Our warranties are limited to:

  • Correction of errors in our work at no additional cost
  • The specific project and intended use
  • Information and conditions known at the time of service
  • Six (6) months from project completion

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any project shall not exceed the fees paid for that project
  • We are not liable for consequential, indirect, or punitive damages
  • We are not responsible for construction means, methods, or safety procedures
  • Liability is limited to professional negligence in the performance of our services
  • We are not liable for issues arising from information not provided by the client

Professional liability insurance provides additional protection as required by law.

10. Force Majeure

We are not liable for delays or non-performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of God
  • Government actions, regulatory changes, or civil unrest
  • Utility failures, internet outages, or infrastructure problems
  • Client-caused delays or changes in project requirements

11. Dispute Resolution

11.1 Mediation

Disputes will first be addressed through good faith negotiation. If unsuccessful, disputes will be submitted to mediation before an agreed mediator.

11.2 Arbitration

If mediation fails, disputes will be resolved through binding arbitration in accordance with Niger law and international arbitration standards.

11.3 Governing Law

These Terms are governed by the laws of Niger. Any legal proceedings will be conducted in Niger jurisdiction.

12. Termination

12.1 Termination by Client

Clients may terminate services with written notice. Client remains responsible for:

  • Payment for work completed to date
  • Reimbursement of project-related expenses
  • Reasonable termination costs

12.2 Termination by Company

We may terminate services for:

  • Non-payment of fees
  • Breach of contract terms
  • Safety or ethical concerns
  • Scope changes that fundamentally alter the project

13. Confidentiality

We maintain strict confidentiality regarding:

  • Client project information and business details
  • Proprietary designs and specifications
  • Financial information and commercial terms
  • Technical data and project documentation

Confidentiality obligations survive termination of our services and continue indefinitely unless otherwise agreed.

14. Website Terms

14.1 Acceptable Use

When using our website, you agree not to:

  • Violate any applicable laws or regulations
  • Transmit harmful, offensive, or inappropriate content
  • Attempt to gain unauthorized access to our systems

  • Clarifications based on client feedback

Significant changes will be communicated to active clients. Continued use of our services constitutes acceptance of updated Terms.

19. Effective Date
